IT Lawyer (International Law & Corporate Support)

Indeema Software is looking for an experienced IT Lawyer who will take full responsibility for the company’s legal support. Your role will focus on structuring relationships with clients and partners in the EU and North America, managing intellectual property, and ensuring compliance with international export control standards.

Responsibilities

  • Legal support of the company’s operations across multiple jurisdictions (USA, United Kingdom, EU).
  • Drafting and negotiation of complex IT contracts, including Master Service Agreements (MSA), Statements of Work (SOW), End User License Agreements (EULA), distribution agreements, and partnership agreements.
  • Ensuring proper transfer and protection of intellectual property rights (IP Transfer) from developers to the company and from the company to clients.
  • Administration of foreign legal entities, support of corporate changes, and interaction with registered agents.
  • Assessment of business activities for compliance with export control regulations (especially in relation to dual-use technologies or specialized software) and sanctions restrictions.
  • Implementation and monitoring of GDPR and CCPA compliance policies, preparation of Data Processing Agreements (DPA).
  • Opening and maintenance of accounts in international banks and payment systems (EMIs), handling KYB procedures.
  • Drafting Terms of Use, Privacy Policy, and Cookies Policy for company products.
  • Assisting with the analysis of tender documentation requirements.

Requirements

  • 3+ years of professional experience in IT companies or law firms with a focus on Technology Law.
  • Higher legal education (Ukraine). An LL.M degree or certifications in IT Law will be considered an advantage.
  • Strong knowledge of international contract law and understanding of the differences between Common Law jurisdictions (USA/UK) and Civil Law systems.
  • English at Upper-Intermediate level (B2+) or higher. Ability to work confidently with legal terminology, draft contracts (legal writing), and conduct negotiations.
  • Understanding of export control principles related to technology transfer and software distribution.
  • Experience in supporting international tenders and procurement processes.
